Do you have Vista/Win7? Enable Aero to get rid of stutter and no need to do it.

You can try Basic theme or disabling hardware acceleration (but compare CPU usage with HW enabled) to get rid of overlay.
Don't forget to get the latest graphic driver from intel.com
I know it's not the answer to your problem, only about overlay.

Do you refer to win7 basic theme? Sorry, if that question is not a good one. I am quite new to splash.

Under Windows 8 (Dev Preview) only overlay video output is available, so no GPU decoding...
On the other hand - it doesn't switch to basic theme.

P.s. looks that this is because of renderer - in MPC madVR also doesn't work.

They're working on Action! and other new versions like SplashBD.
